1. Definitions

In these Terms, the following definitions apply:

• "Platform" refers to the Adexpo website, web application, and any related services accessible at adexpo.in.
• "Advertiser" refers to any individual or entity using the Platform to discover, book, or display advertisements on listed spaces.
• "Space Owner" refers to any individual or entity listing an advertising surface on the Platform.
• "Listing" refers to a Space Owner's published entry describing an available advertising surface.
• "Booking" refers to a confirmed reservation of a Listing by an Advertiser.
• "We", "Us", "Our" refers to Adexpo and its authorized representatives.

2. Eligibility

You must be at least 18 years of age to use the Platform. By registering, you represent and warrant that:

• You are legally capable of entering into binding contracts under applicable Indian law.
• All information you provide during registration and use is accurate, current, and complete.
• You are not prohibited from using the Platform under any applicable law or regulation.

3. User Accounts

To access core features of the Platform, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately at adexpoadmin@gmail.com if you suspect unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are found to be fraudulent, abusive, or inactive for extended periods.

4. Space Owner Responsibilities

If you list a space on the Platform, you agree that:

• You are the rightful owner or authorized representative of the property being listed.
• All listing information — including photographs, dimensions, location, and pricing — is accurate and not misleading.
• You will not list spaces that are subject to legal disputes, encumbrances, or third-party restrictions that prevent their use for advertising.
• You will honour confirmed bookings and maintain the space in the condition described at the time of booking.
• You are solely responsible for ensuring your listing complies with local municipal regulations regarding outdoor advertising in Chennai and applicable Tamil Nadu state regulations.

5. Advertiser Responsibilities

If you book a space through the Platform, you agree that:

• All advertisement content you submit complies with our Advertiser Content Policy.
• You hold all necessary rights, licences, and permissions for the content you intend to display.
• You will not use booked spaces for any purpose other than what was disclosed at the time of booking.
• You are responsible for the physical installation and removal of your advertisement unless otherwise agreed with the Space Owner.

6. Bookings, Payments & Cancellations

6.1 Booking Confirmation

A booking is confirmed only upon receipt of full payment by Adexpo's payment system and a confirmation notification sent to both parties.

6.2 Payment

Payments are processed securely through our payment partners. Adexpo holds funds in escrow until the advertisement is confirmed as live at the booked location. Space Owners are paid out within 5–7 business days of confirmation.

6.3 Commission

Adexpo charges a platform commission on each completed transaction. The applicable commission rate is displayed transparently at the time of booking and is deducted before payout to the Space Owner.

6.4 Cancellations

Cancellation policies are defined at the listing level and agreed upon at the time of booking. Adexpo's general cancellation policy is as follows:

• Cancellations made more than 7 days before the booking start date: full refund minus processing fees.
• Cancellations made within 7 days of the booking start date: 50% refund.
• Cancellations made within 48 hours of the booking start date: no refund.

Adexpo reserves the right to intervene in disputes and issue refunds at its sole discretion in cases of proven misrepresentation.

7. Prohibited Uses

You agree not to use the Platform to:

• Post false, misleading, or fraudulent listings or content.
• Engage in any activity that violates applicable Indian laws or regulations.
• Attempt to circumvent the Platform by transacting directly with other users to avoid platform fees.
• Scrape, harvest, or collect data from the Platform without written permission.
• Interfere with the proper functioning of the Platform or its infrastructure.
• Use the Platform for any illegal, abusive, discriminatory, or harmful purpose.

8. Intellectual Property

All content on the Adexpo Platform — including but not limited to the logo, brand identity, interface design, written content, and software — is the intellectual property of Adexpo and is protected under applicable Indian intellectual property laws.

By uploading content (such as listing photographs or advertisement creatives) to the Platform, you grant Adexpo a non-exclusive, royalty-free licence to display, reproduce, and use that content solely for the purpose of operating and promoting the Platform.

9. Limitation of Liability

Adexpo operates as a marketplace and is not a party to any agreement between Advertisers and Space Owners. To the maximum extent permitted by law:

• Adexpo is not liable for the accuracy or quality of any Listing.
• Adexpo is not responsible for disputes, damages, or losses arising from transactions between users.
• Adexpo's total aggregate liability to any user in connection with the Platform shall not exceed the amount paid by that user to Adexpo in the 3 months preceding the claim.

10. Dispute Resolution

Any disputes arising from the use of the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India, and governed by the laws of India.

11. Modifications to These Terms

Adexpo reserves the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
